Guestkite Terms of Service (DRAFT)

Last updated: 13 October 2026 (draft) · Version 1.2. The Turkish version prevails in case of conflict.

These terms are the contract between TAG Yazılım ve Bilgi Teknolojileri Sanayi Ticaret Limited Şirketi ("Guestkite", "we") and the business using the Guestkite service ("Customer"). Guestkite serves businesses only (merchants and professionals) and does not sell to consumers.

Provider: TAG Yazılım ve Bilgi Teknolojileri Sanayi Ticaret Limited Şirketi · Kundu Mah. 33006 Sok. No:8/N Aksu / Antalya, Türkiye · MERSİS 0815117464000001 · Tax: Kurumlar V.D. 8151174640 · support@guestkite.com

Please read carefully. These clauses may work against you and apply only with your separate acceptance: s.8 (suspension), s.11 (limitation of liability), s.12 (term, renewal and termination), s.13 (deletion of data after the contract ends). A separate checkbox for these clauses is ticked when opening an account.

1. Formation

1.1. The contract is formed when the Customer accepts these terms and the separate checkbox when opening an account, or by a signed quote or order form. 1.2. The accepted version is stored in the account and can be viewed and downloaded in the panel at any time. 1.3. If a quote or order form conflicts with these terms, the quote or order form prevails. 1.4. The Data Processing Agreement and its annexes form part of these terms.

2. The service

2.1. Guestkite is software that lets a business message its customers over Telegram: forwarding to team groups, translation, requests, orders, surveys, an AI assistant and integrations (API, webhooks, HotelRunner, Zapier and others). 2.2. Scope and limits are set by the chosen plan (Standard, Pro). When a plan limit (monthly AI answers, document reading, image generation) is reached, that feature pauses until the next period; messaging continues. 2.3. Guestkite is not part of Telegram. Telegram outages or rule changes are outside Guestkite's control.

3. Accounts and access

3.1. Panel login uses the Telegram accounts of the owner and authorised people. The Customer is responsible for securing these accounts. 3.2. The Customer assigns owner, admin or staff roles and manages permissions. Brand managers see the data of all branches of the brand. 3.3. API keys and integration secrets must be kept confidential; a key suspected to be leaked must be revoked at once.

4. Fees and payment

4.1. Fees are set in the quote or order form and the current price list. Each branch is a separate licence. 4.2. Invoices are issued by TAG Yazılım; payment is made by bank transfer within the term on the invoice. 4.3. If an overdue amount is not paid within 15 days after a written reminder, the service may be suspended under s.8. 4.4. Free trial. The first business opened by each user account is free to try for 14 days. Further businesses and branches opened with the same account have no free trial: they can be set up, but serve no customers until payment is received. When the trial ends the service keeps working for 7 more days and the business owner is notified. If no payment is made in that time, the service is suspended under s.8. Data is not deleted during suspension; once payment is recorded the service continues where it stopped. 4.5. Price changes are notified at least 30 days in advance and apply from the next period. A Customer who does not accept may terminate at the end of the period.

5. Customer obligations

5.1. The Customer is the controller of its customers' personal data and must process it on a lawful basis, give notices and answer requests. Guestkite provides tools for this (in-bot notice, "Delete my data", retention setting). 5.2. The Customer may not use Guestkite for unlawful, misleading or unsolicited bulk content (spam), or content that infringes others' rights, and must follow Telegram's rules. 5.3. Special categories of personal data (health, beliefs, biometrics and others): Guestkite is not designed to process them. Clinics and health businesses should avoid asking for health data in chat; where necessary, they must ensure the legal basis themselves and agree additional safeguards with us in writing. 5.4. The Customer approves the information the AI assistant answers from (knowledge cards) and is responsible for its accuracy. 5.5. The Customer confirms it has the right to use content it uploads (menus, photos, documents, logos). 5.6. Sanctions. The Customer represents that neither it, nor anyone owning 50% or more of it, nor anyone controlling it, is on a United Nations, Turkish, US (OFAC), European Union or United Kingdom sanctions list; and that it is not established, resident or located in a country or region under comprehensive sanctions (today: Iran, North Korea, Cuba, Crimea, and the Donetsk, Luhansk, Kherson and Zaporizhzhia regions) or in the Russian Federation or Belarus. The Customer will not let a sanctioned person use Guestkite and will not pay through a sanctioned bank. If any of this turns out to be untrue or changes, the Customer informs Guestkite without delay. To check this, Guestkite may ask for the Customer's legal name, country of incorporation and authorised person. The Customer's own customers (guests) are outside this clause.

6. AI features

6.1. Translation, voice-to-text, the AI assistant and menu or document reading use AI models and can make mistakes. Important decisions (prices, health, legal, safety) need review by the team. 6.2. The AI assistant answers only from information the Customer has approved and leaves other questions to the team. 6.3. Guestkite does not use the Customer's or its customers' data to train AI models.

7. Intellectual property

7.1. The Guestkite software, panel, bot texts and brand belong to Guestkite. The Customer receives a non-transferable, non-exclusive right of use for the term. 7.2. The Customer's data and content belong to the Customer. Guestkite uses them only to provide the service.

8. Suspension (separate acceptance)

Guestkite may suspend the service in whole or in part for (a) fees overdue despite a reminder, (b) a serious breach of s.5.2, (c) serious suspicion that the account has been taken over, (d) an order of a competent authority, (e) the end of the free trial and the extra period in s.4.4 without payment, or (f) the statement in s.5.6 being untrue or ceasing to be true. In cases (a), (b) and (e) written notice and a reasonable cure period come first; in cases (c), (d) and (f) notice is given without delay. In case (f) Guestkite may terminate the contract at once; fees already paid and the hand-over of data are dealt with as far as the applicable law allows. Data is not deleted during suspension.

9. Service level and maintenance

9.1. Guestkite takes reasonable care to provide the service without interruption but does not guarantee uninterrupted or error-free operation. 9.2. Planned maintenance is announced in advance where possible.

10. Confidentiality

Each party keeps the other's trade secrets and confidential information confidential without time limit, except disclosures required by law.

11. Limitation of liability (separate acceptance)

11.1. Guestkite's total liability under this contract is limited to the fees the Customer paid Guestkite in the 12 months before the event giving rise to the claim. 11.2. Guestkite is not liable for indirect damage, loss of profit or reputation, or damage arising from systems controlled by the Customer or third parties (Telegram, Cloudflare, HotelRunner and others). 11.3. These limits do not apply to intent or gross negligence, death or bodily injury, or liability that cannot be limited by law (Turkish Code of Obligations art. 115).

12. Term, renewal and termination (separate acceptance)

12.1. The contract runs for the term in the quote or order form and renews for the same term unless either party gives written notice at least 30 days before the end. 12.2. If a party materially breaches the contract and does not cure within 15 days of written notice, the other party may terminate immediately. 12.3. Fees paid are not refunded, except on termination due to Guestkite's material breach.

13. Data after the contract ends (separate acceptance)

After the contract ends, the Customer may export its data from the panel and the API for 30 days. After that all Customer data is deleted; copies in automatic backups expire within 30 more days. Invoice records that must be kept by law are excepted.

14. Changes to these terms

Guestkite cannot change these terms unilaterally. A new version is notified at least 30 days in advance in the panel and by email and takes effect on the Customer's renewed acceptance. A Customer who does not accept continues on the old terms until the end of the current period and may terminate at the end of the period without penalty.

15. Notices

Notices go to the email registered in the panel, by an in-panel announcement or by KEP. Notices to Guestkite go to support@guestkite.com (or by KEP).

16. Governing law and jurisdiction

Turkish law applies. The courts and enforcement offices of Antalya have jurisdiction. Guestkite's commercial books and electronic records are evidence under art. 193 of the Code of Civil Procedure.
